How does your company come about?
A formation consists of around a dozen steps, most of which have a set order and a deadline. We guide you through all of them, coordinate the notary, bank and commercial register, and then set up your accounting. In Zug, an ordinary GmbH formation takes three to four weeks from the first meeting to the register entry.
Advice on the legal form
We work through sole proprietorship, GmbH and AG for your situation: capital requirements, liability, social insurance and tax burden. You receive a two-page overview rather than a recommendation out of thin air. For a consultant with 140 000 francs in revenue, the sole proprietorship was the cheaper solution; for a team of three, the GmbH. The meeting takes about an hour.
Articles of association and formation documents
We prepare the articles of association, formation minutes and commercial register application and coordinate them with the notary. We clarify contributions in kind and shareholder agreements in advance. For two founders we drafted an exit arrangement at the same time, which saved a lot of discussion later. We arrange the notary appointment for you.
Registrations with authorities
We register the new company with the OASI compensation office, accident insurer and pension fund and clarify VAT liability. We also examine voluntary registration if there is substantial input tax. An online retailer was able to reclaim around 6 000 francs in input tax in the first year this way. We keep an eye on the deadlines.
Setting up the first accounts
We set up the chart of accounts, document workflow and invoice templates so that the first year doesn't end up in a shoebox. On request we'll show you in two hours how to record entries yourself. At a hairdressing salon we linked cash and bank so that reconciliation takes twenty minutes a month. We accompany the first set of financial statements closely.

Questions about capital
When founding a company, it almost always comes down to money first: how much capital is needed, when it becomes available and what the formation itself costs. Here are the answers we give most often on the phone. For your specific case we work it through in the initial consultation.
How much capital do I need for a GmbH?
The minimum capital is 20 000 francs and must be paid in full. The money isn't lost: after the commercial register entry it is available to the company as working capital. For an AG at least 100 000 francs are required, of which 50 000 must be paid in.
When can I access the capital?
Until the commercial register entry, the capital sits in a capital contribution account and is blocked. After the entry the bank releases it, usually within a few days. So don't plan on paying for goods with it on day one.
What does the formation cost in total?
In addition to our fee there are notary costs and the commercial register fee, together usually between 900 and 1400 francs. These amounts don't go to us; we show them separately in the quote. For a sole proprietorship the notary is not needed at all.
How long does it take until the entry?
From signing at the notary to publication usually takes five to ten working days in the Canton of Zug. Before that we need one to two weeks for the articles of association, opening the account and paying in the capital. If you're under time pressure, tell us right at the start.
Do I have to register for VAT immediately?
You become liable from 100 000 francs in annual revenue. Below that you can register voluntarily, which is worthwhile if you pay a lot of input tax. We work through both options with your figures.
Can I switch from a sole proprietorship to a GmbH later?
Yes, that is a common route and possible on a tax-neutral basis if the conditions are met. Blocking periods and hidden reserves have to be taken into account. We examine the case in advance and record the result in writing.
